Guiding principles

The Caja Madrid Bylaws lay down the principles to be followed by the members of its governing bodies in the pursuit of their duties, which should be conducted:

  • For the exclusive benefit of Caja Madrid and its social and cultural agenda.
  • With full independence from the organisations or collectives electing or appointing them, which may not instruct them as to how to perform their functions. Answering only to the body they belong to and, ultimately, to the General Assembly.
  • Respecting the duty of secrecy with regard to any confidential information received in the exercise of their duties.

As prescribed by current legislation, Caja Madrid has drawn up Internal Rules of Conduct for securities market activity. These rules apply integrally to members of the Board of Directors, the Control Committee and the Management Committee. Their purpose is to forestall conflicts of interest and to prevent the improper use or transmission of inside information in the power of governing body members.
